1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below. "Novalith", "we", "us", "our" refers to Novalith, a company registered in Malaysia and operating from 27 Persiaran KLCC, 50088 Kuala Lumpur. "Service" means the NLP consulting and implementation services offered by Novalith, including custom language model development, sentiment analysis platform development, and document extraction systems. "Website" means the website at novalithol. "User", "you", "your" refers to any individual or organisation accessing the Website or engaging with Novalith's Services. "Agreement" refers to these Terms and Conditions together with any applicable service engagement agreement.

2. Acceptance of Terms

By accessing the Website or submitting an enquiry through our contact form, you acknowledge that you have read and accept these Terms and Conditions. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

You must be at least 18 years of age and have legal capacity to enter into a binding agreement to use our Website and Services.

3. Service Description

Novalith provides natural language processing consultancy and implementation services for organisations operating in Malaysia or requiring Malaysian language capabilities. Our core services are described on the Solutions page of the Website. Specific service scope, deliverables, and timelines are defined in separate engagement agreements.

Services are delivered in English. Bahasa Malaysia capability is incorporated within NLP systems as a technical feature, not as the language of service delivery communications, unless otherwise agreed.

4. Enquiries and Communications

Submitting the contact form on this Website does not constitute a binding agreement to purchase services. It is an expression of interest that will be followed up by Novalith. A formal engagement is only established when both parties have executed a written service agreement.

5. User Responsibilities

When using the Website, you agree not to: submit false or misleading information; use automated tools to scrape, crawl, or otherwise extract content from the Website without permission; attempt to circumvent any security measures; or use the Website in a manner that violates any applicable law.

For service engagements, additional responsibilities will be outlined in the applicable service agreement, including data provision obligations, review and feedback timelines, and cooperation requirements.

6. Intellectual Property

All content on this Website, including text, code examples, visual elements, and structural design, is owned by or licensed to Novalith. You may not reproduce, distribute, or create derivative works from Website content without prior written permission.

Intellectual property arrangements for NLP systems developed under service engagements (including trained models, extraction schemas, and pipeline code) are specified in the applicable engagement agreement. Novalith retains rights to general methodologies, frameworks, and pre-existing tools regardless of what is developed for a client.

7. Payment Terms

Pricing for services is quoted in Malaysian Ringgit (RM) and is stated in individual engagement agreements. Invoices are payable within 30 days of the invoice date unless otherwise agreed. Late payments may be subject to interest in accordance with Malaysian commercial practice.

Payment terms specific to each project phase (for example, upfront scope fee, milestone payments, and final delivery payment) are set out in the engagement agreement. All prices are exclusive of any applicable taxes unless stated otherwise.

8. Service Delivery

Timelines stated in engagement agreements are estimates based on assumptions about data availability and client responsiveness. Novalith will communicate promptly if circumstances arise that affect delivery timelines.

Client cooperation — including timely provision of data, access to systems, and review feedback — is material to delivery. Delays caused by a client's failure to cooperate within agreed timelines may affect delivery dates without constituting a breach by Novalith.

9. Disclaimers

The Website and its content are provided on an "as available" basis. Novalith makes no representations about the accuracy or completeness of information on the Website and accepts no liability for errors or omissions.

NLP systems involve statistical models whose performance depends on data quality and domain coverage. Novalith will share evaluation results honestly, but does not represent that any system will achieve a specific level of accuracy in all circumstances. Performance representations, where made, are based on evaluation against agreed test sets.

10. Limitation of Liability

To the extent permitted by Malaysian law, Novalith's aggregate liability under or in connection with any service engagement shall not exceed the total fees paid by the client for the relevant service in the twelve months preceding the claim.

Novalith shall not be liable for indirect, consequential, or incidental losses, including loss of business, revenue, or data, arising from the use of or inability to use our Services or Website.

11. Termination

Either party may terminate a service engagement in accordance with the termination provisions in the applicable service agreement. Where no specific provisions apply, reasonable written notice is required. Termination does not affect accrued rights or obligations, including payment for work completed.

12. Governing Law and Disputes

These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to the courts of Malaysia, with Kuala Lumpur as the agreed jurisdiction.

13. General

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Novalith's failure to enforce any provision does not constitute a waiver of the right to do so in the future. These Terms represent the entire agreement between you and Novalith with respect to use of the Website.

14. Changes to Terms

We may update these Terms from time to time. The updated version will be published on this page with a revised date. Continued use of the Website following an update constitutes acceptance of the revised Terms.
